Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Wise Flow, a project management service operated by Snowy Mountain Software, an assumed business name of ZYEYZ, LLC ("Company," "we," "us," or "our").

By accessing or using Wise Flow, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our service.

Description of Service

Wise Flow is a modern project management platform that enables teams to organize tasks, collaborate on projects, and manage workflows. Our service includes features such as task management, project organization, team collaboration, calendars, and related functionality as described on our website.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

Account Registration

To use Wise Flow, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to use Wise Flow. By using our service, you represent that you meet this age requirement.

Acceptable Use

When using Wise Flow, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the service for any illegal or unauthorized purpose
• Transmit any malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service or its infrastructure
• Impersonate any person or entity, or falsely represent your affiliation
• Collect or harvest any information from the service without authorization
• Use automated systems to access the service in a manner that exceeds reasonable use
• Upload content that is defamatory, obscene, or otherwise objectionable
• Use the service to send spam or unsolicited communications

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending accounts, and reporting to law enforcement.

User Content

"User Content" refers to any content you create, upload, or share through Wise Flow, including but not limited to projects, tasks, comments, files, and workspace information.

You retain ownership of your User Content. By using Wise Flow, you grant us a limited license to host, store, display, and process your User Content solely for the purpose of providing the service to you and your authorized users.

You are solely responsible for your User Content and represent that you have all necessary rights to upload and share such content. You agree not to upload content that infringes on intellectual property rights, violates privacy rights, or contains illegal material.

Workspaces and Collaboration

Wise Flow allows you to create workspaces and invite team members to collaborate. As a workspace owner or administrator, you are responsible for:

• Managing member access and permissions within your workspace
• Ensuring your team members comply with these Terms
• Removing members who violate these Terms
• Any content created within your workspace by your team members

When you join another user's workspace, you agree to follow their reasonable guidelines for collaboration and acknowledge that the workspace owner may remove you at any time.

Payment Terms

Wise Flow may offer free and paid subscription plans. If you choose a paid plan:

• You agree to pay all applicable fees as described at the time of purchase
• Fees are generally non-refundable unless otherwise stated
• We may change our pricing with reasonable advance notice
• Your subscription will automatically renew unless you cancel before the renewal date
• You are responsible for providing accurate billing information

If payment fails, we may suspend your access to paid features until payment is successfully processed.

Intellectual Property

The Wise Flow service, including its design, features, functionality, and content (excluding User Content), is owned by ZYEYZ, LLC and is protected by copyright, trademark, and other intellectual property laws.

The Wise Flow name, logo, and all related names, logos, and product and service names are trademarks of ZYEYZ, LLC. You may not use these marks without our prior written permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the service for your personal or internal business purposes.

Privacy

Your use of Wise Flow is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. We do not sell, rent, or share your personal information with third parties for marketing purposes.

Disclaimer of Warranties

WISE FLOW IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, secure, or error-free, or that any defects will be corrected. Your use of the service is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYEYZ, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF WISE FLOW.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless ZYEYZ, LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of Wise Flow
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

We may suspend or terminate your access to Wise Flow immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of Wise Flow shall be resolved exclusively in the state or federal courts located in Montana, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date.

Your continued use of Wise Flow after any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZYEYZ, LLC regarding your use of Wise Flow and supersede any prior agreements.
